Job Description

Helena Agri-Enterprises, LLC is seeking an Assistant General Counsel to provide legal advice to Helena and its subsidiaries with respect to transactional matters including negotiating a wide variety of operational contracts, contracts for mergers and acquisitions, real estate and lease transactions, credit transactions and corporate financing.

This position will oversee a small highly qualified legal team, including paralegals, and report to the General Counsel.

The Assistant General Counsel will work on-site in the legal department of Helena's Corporate Headquarters located in Collierville, Tennessee.

The employee's primary duty must be the performance of office or non-manual work directly related to the management or general business operations of Helena or Helena's customers. This also includes the exercise of discretion and independent judgement with respect to matters of significance.

What your day may look like

  • Manages the workflow of transactional matters within the legal department and outside attorneys.
  • Negotiates, drafts, and reviews contracts with vendors/suppliers.
  • Assists Compliance Officer and General Counsel with ensuring contracts and operations meet the requirements of Helena's policies and procedures.
  • Monitors pending litigation and discovery.
  • Prepares reports as necessary to update Executive team and Board on pending litigation matters.
  • Assists General Counsel and outside legal counsel by performing research and compiling data such as sales information, customer information, insurance and contract records, company policies, witness research, and other internal records, etc. as needed to support litigation and to response to subpoenas.
  • Other work-related duties as may be assigned.
  • Reliable and regular attendance is expected.

Education and experience needed for this position

  • J.D. or Master of Law degree from a law school accredited by the American Bar Association is required.
  • Must be in good standing and licensed to practice law in a state or territory of the United States is required.
  • Eligible to become licensed to practice law in Tennessee is required.
  • Two to Three years of experience working in a law firm is required.
  • Experience managing a legal team is required.

  • Excellent written and verbal communication skills.
  • Agricultural background (i.e. education, law practice and/or farm experience) is preferred.
  • Prior litigation and/or regulatory experience is preferred.
  • Travel up to 10% may be required.

The work environment for this position is that of a typical office environment where the noise level is mostly quiet. This position requires you to use your hands for many different tasks and to talk, hear, walk, stand and sit. You may be occasionally required to lift or move up to 10 pounds.
